RESOLUTION NO. 26-10 INTRODUCED BY: Mrs. Fenderbosch A RESOLUTION AUTHORIZING THE EMERGENCY PURCHASE OF ROAD SALT FROM NATIONAL SALT DISTRIBUTORS, INC., DUE TO A SUPPLY SHORTAGE AND DECLARING AN EMERGENCY. WHEREAS, the City has an existing contract with Cargill, Inc., for the supply of road salt for municipal operations; and WHEREAS, Cargill, Inc., has advised the City that it is unable to supply road salt in accordance with the contract due to a shortage; and WHEREAS, the contract with Cargill, Inc., expressly provides that in the event Cargill, Inc., is unable to provide road salt, the City is authorized to obtain the salt from an alternative vendor, as provided in Section 7.13 of their contract, and Cargill, Inc., shall reimburse the City for the cost of such purchase; and WHEREAS, National Salt Distributors, Inc., of Bellefontaine, Ohio, has indicated that it is able to supply the City with road salt at a cost not to exceed One Hundred Eight Thousand Five Hundred Dollars ($108,500); and WHEREAS, an adequate supply of road salt is necessary to ensure the safety of the traveling public and to allow the City to effectively maintain public roadways during winter weather conditions; and WHEREAS, the inability to obtain road salt in a timely manner constitutes an emergency affecting the public health, safety, and welfare of the residents of the City; and WHEREAS, Council finds that it is necessary and in the best interests of the City to authorize the immediate purchase of road salt from National Salt Distributors, Inc., of Bellefontaine, Ohio, with reimbursement to be made by Cargill, Inc., pursuant to the terms of the existing contract. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF AVON LAKE, STATE OF OHIO: Section No. 1: That the Finance Director and the Public Works Director are hereby authorized to purchase road salt from National Salt Distributors, Inc., of Bellefontaine, Ohio, at a cost not to exceed One Hundred Eight Thousand Five Hundred Dollars ($108,500), due to the current salt shortage and emergency need.

RESOLUTION NO. 26-10 Page | 2 Section No. 2: That the Finance Director and Public Works Director are authorized and directed to seek full reimbursement from Cargill, Inc., in accordance with the reimbursement provisions of the existing contract between the City and Cargill, Inc. Section No. 3: That it is found and determined that all formal actions of Council relating to the adoption of this Resolution were taken in an open meeting, and that all deliberations of Council and its committees resulting in such actions were conducted in meetings open to the public in compliance with all applicable legal requirements, including Section 121.22 of the Ohio Revised Code. Section No. 4: That this Resolution is hereby declared to be an emergency measure, the emergency being the immediate preservation of the public peace, health, safety, and welfare of the City and its residents. Therefore, this Resolution shall be in full force and effect from and immediately after its adoption and approval by the Mayor.
