Memphis and Ridge: Sale of the real property held by Brooklyn Community Improvement Corporation located at Ridge and Memphis Roads & Ridge Road and Rockland Drive, Brooklyn, Ohio, and known as Cuyahoga County Permanent Parcel Nos. 432-26-001 and 432-26-002, to the Northeast Ohio Regional Sewer District. In 2013, the city quitclaimed the parcels to the Brooklyn Community Improvement Corporation, which has held title since then. • The parcels are unimproved and not maintained as parkland, although the city maintains them with regular grass cutting. • The Sewer District wishes to acquire them for the appraised value, $78,000, in order to construct a shaft that is part of its Big Creek Tunnel project (see materials attached). • The Sewer District will agree to a deed restriction that keeps the properties as green space for a period of 50 years, failing which the city has a reversionary interest. 2.2 Action Items Motion to approve the sale of Cuyahoga County Permanent Parcel Nos. 432-26-001 and 432-26-002 to the Northeast Ohio Regional Sewer District under the terms (or substantially the same terms, in a form approved by the law director) found in the attached purchase agreement. Motion to appoint the City of Brooklyn as the corporation’s agent for the purposes of receiving monies and executing and/or attesting to all such further documents, instruments, agreements and certificates for and on behalf of the corporation in connection with the sale of the real property, as the Mayor may deem necessary or desirable in order to effectuate the purpose and intent of the foregoing motion to approve the sale of the real property. 3. Brookpark and Tiedeman: Acceptance from the City of Brooklyn upon the city’s purchase of the real property located at 10300 Brookpark Road, known as Cuyahoga County Permanent Parcel No. 433-17-014, from LGP Realty Holdings LP, a Delaware limited partnership. 10300 Brookpark Road PPN 433-17-014 (former BP) - LGP Realty Holdings to COB 2026.pdf 3.1 Background • This was discussed initially at the February annual meeting of the corporation. • Council has authorized the city’s entry into a purchase agreement with the seller for the property, the former BP gas station site at Brookpark and Tiedeman (now closed). • City has executed the purchase agreement, which contemplates this assignment: “So long as Buyer is not in default of this Agreement, Buyer shall have the right to assign this Agreement to the City of Brooklyn Community Improvement Corporation (the "CIC"), a corporation formed pursuant to Chapter 1724 of the Ohio Revised Code and Chapter 151 of the Codified Ordinances of the City of Brooklyn, provided that Buyer shall, prior to the expiration of the Due Diligence Period, deliver to Seller a written notice advising Seller of Buyer's election to assign this Agreement, which notice shall be accompanied by a fully executed Assignment and Assumption Agreement between Buyer, as assignor, and the CIC, as assignee, wherein (a) all rights of Buyer in this Agreement including, without limitation, Buyer's rights in the Deposit, and all obligations of Buyer hereunder are assigned to the CIC; (b) the CIC agrees to be bound by all of the provisions of this Agreement; and (c) upon such assignment, City of Brooklyn, Ohio, as Buyer, shall be fully released from further performance of this Agreement.” • City wishes to make the corporation its nominee/assignee at closing for the purpose of holding title to the property going forward. 3.2 Action Items Motion to accept by way of assignment title to the real property located at 10300 Brookpark Road, known as Cuyahoga County Permanent Parcel No. 433-17-014, from LGP Realty Holdings LP, a Delaware limited partnership, at the closing of the purchase of that property. Motion to appoint the City of Brooklyn as the corporation’s agent for the purposes of paying monies and executing and/or attesting to all such further documents, instruments, agreements and certificates for and on behalf of the corporation in connection with the acceptance of the real property, as the Mayor may deem necessary or desirable in order to effectuate the purpose and intent of the foregoing motion to approve the acceptance of the real property by way of assignment, including the corporation’s entry into an assignment and assumption agreement. 4.
