RESOLUTION NO. 2025-77 BY: KEPPLE A RESOLUTION to take effect immediately provided it receives the affirmative vote of at least two thirds of the members of Council, or otherwise to take effect and be in force after the earliest period allowed by law, appointing __________________ to the Ward 4 seat on Lakewood City Council for the remainder of the four-year term ending December 31, 2027. WHEREAS, the resignation of Ward 4 Councilmember Cindy Marx has caused a vacancy on Lakewood City Council beginning January 1, 2026; and, WHEREAS, Article 2.2 of the Third Amended Charter of the City of Lakewood authorizes the remaining councilmembers to appoint a qualified individual to the vacant position; and, WHEREAS, as set forth in Section 2.12 of the Third Amended Charter of the City of Lakewood, this Council by a vote of at least two thirds of its members determines that this resolution is an emergency measure and that it shall take effect immediately, and that it is necessary for the immediate preservation of the public property, health, and safety and to provide for the usual daily operation of municipal departments, in that this position should be filled immediately so as to ensure that City Council may deliberate thoroughly; now, therefore, BE IT RESOLVED BY THE CITY OF LAKEWOOD, OHIO: Section 1. The presentation presented high-level conceptual cost estimates for three options as well as projected cash fiow needed for each option, summarized below. Option 1 City Hall Renovation with small addition and annex renovation Option 2 City Hall renovation with large addition and annex renovation Option 3 Warren Road Renovation and City Hall Renovation Estimated Project Cost $ 21,425,071 $ 30,984,985 $ 39,720,945 Projected Cash Flow 2026 1.2 M 1.5 M 1.6 M 2027 12.5 M 16.8 M 15.6 M 2028 7.8 M 11.2 M 10.3 M 2029 1.5 M 12.2 M The Administration has expressed a desire to use 1.5 million from the Land Acquisition Fund to purchase the Warren Road building and include 16.5 million in the City’s 2026 Bond Anticipation Notes (BANS) for renovation of the Warren Road building. Page 160 of the budget book also refiects an additional 5million in 2027 and 3 million in 2028 and indicates an estimated cost of Criteria Architect of 2026 and 2027 to be 1.8 million. Each year, the City’s bond counsel comes before City Council to discuss the City’s debt and the impacts of proposed BANS. Because the City plans to go out for a bond rating this year, the Finance Department has requested that the BANS legislation be adopted by February 17th. Working backward from this date, and, considering that it will be important for the new Ward 4 Council member to be included in the interwoven topics of the City’s debt, rating, and proposed BANS and the Administration' s proposed City Hall plan details, I propose the following timeline and process: 003

In furtherance of the public discussion held most recently at the Committee of the Whole on November 17, 2025, whereby cost estimates were provided by: Weber Murphy Fox (“WMF”) and Project Management Consultants PMC”) on a variety of construction and location scenarios, the Administration presents this communication to update you on recent discussions with the owner/developer of the BOE, Liberty Development (“ Liberty”), and presenting this information to you and the public. Liberty reviewed the presentation from the November 17th meeting and subsequently reached out to the Administration with a request to present its own “apples to apples” analysis of the costs to rehabilitate the BOE for City use. Such an analysis should be highly useful to the Administration and City Council as we continue our due diligence process. Liberty is uniquely positioned to provide such an additional layer of analysis due to its deep knowledge and understanding of the site from its multi-year ownership as well as the level of specificity Liberty can provide after performing multiple analyses on the building over time. Highly relevant to this analysis, Liberty has recently completed a historic renovation of the sister building next door 1456 Warren Road) which gives them insights which might be otherwise lost in our evaluation process. Finally, this track record as developer and general contractor includes a heavy focus on and experience with similar adaptive reuse of historic structures in this region (e.g. the Bulkley Building in Playhouse Square (circa 1921) and the Union Building, developed with public entity partner, Cleveland State University). All the above factors indicate that Liberty’sevaluation of costs should be very helpful to theAdministration and City Council. The City Hall building discussion in 2025 largely centered around projected costs. The aim of this communication is to attempt to answer the most basic question: what would be the actual cost to relocate several administrative departments into our core downtown? Once this cost is accurately determined, we will also have this figure validated and confirmed by our bond counsel and lenderand ensure that it aligns with the ongoing financial health of the City. The administration will also publicly present its rationale as to why the downtown administrative offices and Police Headquarters / Justice Center model at 12650 Detroit Avenue makes the most sense operationally, serves this community in the best manner of all options presented, and provides all city employees with a professional and equitable setting in which to work. 008

It is material to note that existing City Hall renovation cost estimates at $288.55 per square foot as provided by WMF / PMC were included in the Liberty analysis to maintain an accurate apples to apples cost comparison. Police Department Now Has Square Footage in line with Industry Standards & Similar Cities / Suburbs: This project better right-sizes LPD from an operations, needs, and square footage standpoint as compared to local and regional cities and suburbs who we compete with in recruiting, hiring, and retention. 2. Costs: Estimates provided by PMC / WMF came in at nearly 50% higher than actual construction & buildout price from Liberty, who will contractually guarantee such pricing. 3. Customer Service: Best option to create a one-stop shop, high-quality, customer-service experience for residents, tax or billpayers, permit-seekers, & the public. 4. Unified Departmental Operations: Consolidate customer-facing departments under a single roof allows for best operational efficiency. 010

In this instance, the property owners are seeking the lease in order to construct coastal erosion control measures. This matter was referred to the Division of Engineering for review. This property currently is the site of a City of Lakewood outfall and an easement has been recorded that will protect any future work that may need to be done to maintain or reconstruct the outfall. RESOLUTION NO. BY: A RESOLUTION to take effect immediately provided it receives the affirmative vote of at least two thirds of the members of Council, or otherwise to take effect and be in force after the earliest period allowed by law, approving the use of submerged lands for property located at 1040 Forest Cliff Drive, Lakewood, Ohio PPN 311-13-073 ( a legal description of which is attached hereto as Exhibit “ A”), in order to permit the owners the opportunity to construct the proposed shore structure. WHEREAS, the property owners need to construct the proposed shore structure in Lake Erie at Lakewood, Cuyahoga County, Ohio; and WHEREAS, as part of the application to lease submerged lands, the parties involved must submit to the Ohio Department of Natural Resources a resolution from Lakewood City Council approving the proposed use of the submerged land; and WHEREAS, as set forth in Section 2.12 of the Third Amended Charter of the City of Lakewood, this Council by a vote of at least two thirds of its members determines that this resolution is an emergency measure and that it shall take effect immediately, and that it is necessary for the immediate preservation of the public property, health, and safety and to provide for the usual daily operation of municipal departments in that this submerged lands lease is necessary for the improvements to be made; now, therefore BE IT RESOLVED BY THE CITY OF LAKEWOOD, OHIO: Section 1. The City of Lakewood finds and determines that territory being proposed for the proposed shore structure, which is further described in the application for a submerged lands lease, is not necessary or required for the construction, maintenance or operation by the municipal corporation of breakwaters, piers, docks, wharves, bulkheads, connecting waterways, water terminals, facilities and improvements, and marginal highways in the aid of navigation and water commerce, and the land uses specified in the application comply with regulation of permissible land use as determined by the city but will be subject to an Permanent Storm Sewer Easement, attached as Exhibit “ B”. Section 2. The Clerk of Council is hereby authorized and directed to certify a copy of this resolution to the Ohio Department of Natural Resources. Section 3. It is found and determined that all formal actions of this Council concerning and relating to the passage of this Resolution were passed in open meetings of this Council and that all deliberations of this Council and any of its committees that resulted in such actions were in meetings open to the public and in compliance with legal requirements. 2026- 01 016

Exhibit B Agreement for a Permanent Storm Sewer Easement THIS AGREEMENT made and concluded at Lakewood, Ohio, this \ze day of DECEMBER , 2025 by and between the CITY OF LAKEWOOD, Ohio, 12650 Detroit Avenue, Lakewood, Ohio and/or its agents (hereinafter referred to as “City”) and Susan H. Krebs, 1040 Forest Cliff Drive, Lakewood, Ohio together with their heirs, administrators, executors, successors and assigns (hereinafter referred to as the “Owner”). WHEREAS, Owner is the owner of real property, Permanent Parcel No. 311-13-073, located at 1040 Forest Cliff Drive, Lakewood, Ohio (hereinafter referred to as “Property”); and WHEREAS the City desires to obtain a permanent storm sewer easement. WITNESSETH: For valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows: 1. Owner shall grant a perpetual and permanent non-exclusive easement to The City of Lakewood over, under, and through the premises described in Exhibit “A” (“Permanent Storm Sewer Easement”), including any Submerged Lands Lease Area Parcel | described in Exhibit “B” (proposed armor stone revetment), attached hereto and incorporated herein fully as if by reference for the purposes of ingress and egress, installing, constructing, operating, repairing, maintaining, replacing, extending and reconstructing any and all utilities, structures, and appurtenances which the City shall cause to be recorded for record with the Cuyahoga County Recorder which will run with the land. This easement shall not be intended for public use. The City of Lakewood, its successors and assigns, may grant to others the right to use the Storm Sewer Easement for purposes not inconsistent with the primary purposes of the easement. ‘The terms and provisions hereof shall 1 of 4 020

constitute covenants running with the land, shall inure to the benefit of the general public and The City of Lakewood personnel, agents, successors and assigns and shall be binding upon each of them. 2. City shall compensate Owner $ 1.00 for the easement. 3. When needed the City shall temporarily remove any fence (if necessary) to perform any work in the easement areas. Upon completion of the work, the City shall restore the fence in- kind. Once the fence is installed, the Owner will be responsible for the operation, maintenance, and removal/replacement of said fence. 4, When needed the City shall remove the landscape features (grass, pavers, lighting, trees, brush, vegetation, etc. ) within the easement area as required for the work. Upon completion of the work, the City shall restore the landscape in-kind as coordinated with the Owner. Once the landscape is installed, the Owner shall be responsible for the watering, landscape care, pruning, trimming, and maintenance of all landscape features. _ 5. The Owner shall not be permitted to construct any permanent structures, stairs, buildings, pools, retaining walls, or embankments directly atop or within 25’ of either side of the sewer pipe and the outfall pipe unless approved by the City Engineer. See Exhibit “C” for sewer location. Additionally, the City shall retain access rights to the stone revetment area within the Submerged Land Lease Area Parcel | for the purposes of maintaining free storm outfall flow from its storm pipe including but not limited to any future improvements required to the subject area. 6. The City shall notify the Owner 30 days in advance of any scheduled routine maintenance or infrastructure work requiring easement access. The City will notify the Owner immediately of any emergency work work requiring easement access. 7. This agreement embodies the entire agreement between the City and Owner with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, Neither the City nor Owner has made nor relied upon any promises, representations or warranties in connection with this agreement that are not expressly set forth in this agreement. In entering into this agreement, the City and Owner have relied on the recitals representation and warranties contained in this agreement. 8. This agreement may not be modified except by a written agreement executed by the City and Owner. No waiver of any condition or covenant in this agreement by either party shall be effective unless made in writing, nor shall any waiver be deemed to imply or constitute a future waiver of the same or any other condition or covenant of this agreement. 2 of 4 021

This agreement shall be construed and enforced in accordance with the laws of the State of Ohio. 10, Whenever a word appears here in in its singular form, such word shall include the plural; and the masculine gender shall include the feminine and neuter genders.
