RESOLUTION NO. 2021 - 62

A RESOLUTION APPROVING THE AWARD OF A JOB CREATION 
GRANT 
TO 
PERFORMANCE 
HEALTH, 
INC. 
AND 
FURTHER 
AUTHORIZING THE MAYOR TO ENTER INTO A GRANT AGREEMENT, 
AND DECLARING AN EMERGENCY.  
 
WHEREAS, Performance Health, Inc. is a third-party administrator in the health care 
services industry, and has considered establishment and expansion of its facilities in North 
Olmsted; and  
 
WHEREAS, Performance Health, Inc. has tentative plans to purchase an office building 
to serve as its corporate headquarters, relocating 59 employees with a payroll of approximately 
$3,746,000.00; and  
 
WHEREAS, Performance Health anticipates adding an additional 50 employees, raising 
the payroll during the contract grant period to $6,156,000.00; and  
 
WHEREAS, the grant term is ten (10) years at fifty (50%) percent of the payroll tax.  
 
WHEREAS, it is accordingly the desire of this Council to approve the Performance 
Health Job Creation Grant application and to authorize the Mayor to enter into a Job Creation 
Grant Agreement with Performance Health. 
 
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF 
NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: 
 
SECTION 1:   That a Job Creation Grant be awarded to Performance Health for a ten 
(10) year period beginning in the year 2023 which would pay Performance Health the following 
percentages of gross City of North Olmsted income taxes withheld by Performance Health for its 
employees located in the City: 50% of all City income taxes collected by the Company at the 
Site. 
 
SECTION 2:  That the Mayor be and is hereby authorized to enter into a Job Creation 
Grant Agreement with Performance Health.  The final agreement shall be in a form and 
substance that is not substantially adverse to the City and which is approved by the Director of 
Law.  The character of any such contract as not being substantially adverse to the City shall be 
evidenced conclusively by the execution of the contract by the Mayor and the approval of the 
contract by the Director of Law. 
 
SECTION 3:  That this Resolution is hereby declared to be an emergency measure 
immediately necessary for the preservation of the public health, safety, and welfare, and for the 
further reason it is necessary that this legislation go into effect immediately in order to 
effectively attract and grow this quality business in the City of North Olmsted, and further,

provided it receives the affirmative vote of two-thirds of all members of the Council, it shall take 
effect and be in force immediately upon its passage and approval by the Mayor.
