[2024-118 Contract Database Systems.pdf] CITY OF NORTH OLMSTED RESOLUTION NO. 2024 - 118 By: Mayor Jones A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A CONTRACT WITH DATABASE SYSTEMS CORP. TO PURCHASE THE “CARE CALL REASSURANCE SYSTEM”, AND DECLARING AN EMERGENCY. WHEREAS, for over 20 years, the North Olmsted Police Department has provided an automated telephone reassurance program to residents at no cost to the residents. The R U OK program uses a computer to dial subscribers at a time of their choosing to elicit a response that they are ok. If the call goes unanswered or the subscriber requests assistance, North Olmsted Police and/or Fire personnel are dispatched; and WHEREAS, being a 20 plus year old system, the R U Ok System had a hardware failure that is not repairable. Additionally, the company, R U Ok is no longer in business so an updated system is not available from them. Currently, North Olmsted Police Personnel are manually making the R U OK telephone calls to the enrolled residents; and WHEREAS, the CARE program is a modern system that uses current, advanced technology to make initial and follow up telephone calls, automatically generates alerts and has reporting features. Purchasing the CARE system would include a dedicated Windows Computer, Pro-Care Software Licensing for up to 100 participants and shipping for a total cost of $10,745.00. After the first year, the annual subscriber license fee for up to 100 participants is $1,200.00 per year. WHEREAS, in accordance with the recommendation of the Director of Public Safety, it is the desire of this Council to authorize the Mayor to enter into a contract with Database Systems Corp. to purchase their CARE Call Reassurance system. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: SECTION 1: That the Mayor be and she hereby is authorized to enter into a contract with Database Systems Corp. in the initial amount of $10,745.00, with annual subscriber Licensing Fees of $1,200.00, to provide an automated telephone reassurance program to residents in need. This contract will automatically renew until cancelled. Said contract shall be in substantially the same form and substance as the contract on file in the Department of Public Safety, with only such changes thereto as are not substantially adverse to the City and which are approved by the Director of Law. The character of any such changes as not being substantially adverse to the City shall be evidenced conclusively by the execution of the agreement by the Mayor and the approval of the agreement by the Director of Law. 2 SECTION 2: That this Resolution is hereby declared to be an emergency measure immediately necessary for the preservation of the public health, safety and welfare, and further for the reason that it is necessary to promptly replace the current system to ensure continuous, invaluable service to residents in need; and provided it receives the affirmative vote of two-thirds of all members of Council, it shall take effect and be in force immediately upon its passage and approval by the Mayor.
