[2025-103 Kutak Rock Law Agreement.pdf] CITY OF NORTH OLMSTED RESOLUTION NO. 2025 - 103 BY: Mayor Jones A RESOLUTION AUTHORIZING THE DIRECTOR OF LAW, ON BEHALF OF THE CITY OF NORTH OLMSTED, TO ENTER INTO AN AGREEMENT WITH THE LAW FIRM OF KUTAK ROCK LLP TO PROVIDE PROFESSIONAL LEGAL SERVICES FOR COMMUNITY AND ECONOMIC DEVELOPMENT PROJECTS, AND DECLARING AN EMERGENCY. WHEREAS, with City Council approval, the City of North Olmsted for several years has utilized the law firm of Squire Patton Boggs to provide specialized legal services in matters concerning economic development projects; and WHEREAS, expert assistance on complex financial matters was provided by Mr. Greg Daniels and, later, Mr. Russ Balthis; and WHEREAS, both Mr. Daniels and Mr. Balthis have joined a new firm, Kutak Rock LLC; and WHEREAS, both attorneys are familiar with the projects that the City is undertaking and possess unique knowledge of the City’s financial situation and strategic goals; and WHEREAS, the law firm of Kutak Rock LLP now has expertise in public finance and community and economic development legal matters (including TIFs and CRAs); and WHEREAS, the fees charged by Kutak Rock LLP are the same as those charged by Squire Patton Boggs; and WHEREAS, it is the recommendation of the Director of Law that the City of North Olmsted enter into an agreement with Kutak Rock LLP for professional legal services regarding economic development. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: SECTION 1: That the Director of Law be and he is hereby authorized to enter into an hourly rate agreement with the law firm of Kutak Rock LLP to provide professional legal services to the City of North Olmsted for the legal services related to economic development matters, pursuant to terms set forth in the Agreement on file with the Director of Law. 2 SECTION 2: Because there are several projects where legal services may be required, each legal service / project for which Kutak Rock LLP is engaged shall be approved by the Board of Control before engaging in such services. SECTION 3: That this Resolution is hereby declared to be an emergency measure immediately necessary for the preservation of the public health, safety and welfare, and further for the reason that it is necessary that this Resolution go into effect immediately in order to have legal counsel available to timely address ongoing issues regarding various economic development projects.
