RESOLUTION NO. 2026 - 24

A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A
RENEWED AND AMENDED AGREEMENT WITH THE SENIOR
TRANSPORTATION CONNECTION OF CUYAHOGA COUNTY TO
PROVIDE FOR TRANSPORTATION SERVICES, AND DECLARING AN
EMERGENCY.
WHEREAS, since 2014, the City of North Olmsted has contracted with the Senior
Transportation Connection (“STC”) of Cuyahoga County to provide transportation services to
qualifying seniors and persons with disabilities; and
WHEREAS, since 2014, the City of North Olmsted has been satisfied with the services
provided, has entered into renewal agreements to maintain this relationship and desires to enter
into an Amendment for 2026 to continue to provide these critical public services; and
WHEREAS, North Olmsted and STC entered into an Agreement in 2023 as authorized by
Ord. 2023-04 which provided for continuous services to the City of North Olmsted in years
following and authorized the Mayor to renew service without additional approvals of the Council
provided there were no price increases; and
WHEREAS, STC is facing increasing costs for delivery of door to door transportation
services. In order to continue providing this valuable service to all older residents, and to cover
the increased costs per trip, the STC Agreement contains the following schedule of rider charges:
Individual Trips
As compensation for the services provided by Contractor, the Recipient shall pay
the Contractor a rate of
$41.00 per one-way Passenger trip (within North Olmsted)
$36.00 per one-way Passenger trip (outside of North Olmsted).
$43.00 per one-way Passenger trip to North Olmsted Senior Center, Recreation
Center, or Springvale
$39 per one-way Passenger trip for limited dialysis
WHEREAS, it is the desire of this Council, in order to provide for the public health, safety
and general welfare of the residents of the City of North Olmsted, to authorize the Mayor to renew
/ amend its Transportation Services Contract with STC and increase the costs for riders.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
NORTH OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO:
SECTION 1: That the Mayor be and she is hereby authorized to enter into a Transportation
Services Contract with amendments with the Senior Transportation Connection, a copy of which

amendment is attached hereto and marked as Exhibit "A," from January 1, 2026 through December
31, 2026. The contract shall be substantially similar to the contract attached hereto with only such
changes as are deemed not adverse to the City of North Olmsted and as otherwise are approved by
the Director of Law. If there are no cost increases in 2026, then the Mayor further is authorized to
enter into a renewal / additional contract in years following, provided that there are no cost
increases.
SECTION 2: That this Resolution is hereby declared to be an emergency measure
immediately necessary for the preservation of the public health, safety and welfare, and for the
further reason that the Agreement must be in effect to insure continuation of delivery of vital
transportation services to the residents of North Olmsted, and further provided it receives the
affirmative vote of two-thirds of all members of Council, it shall take effect and be in force
immediately upon its passage and approval by the Mayor.

Amendment to Transportation Services Contract
This 2nd Amendment to Transportation Services Contract (“2nd Amendment”) is made and
entered into as of February _____, 2026 by and between Senior Transportation Connection,
LLC, an Ohio non-profit corporation (“Contractor”), located at 4735 W. 150th St., Cleveland,
OH 44135, and The City of North Olmsted, Ohio, an Ohio municipality ("Recipient") with
administrative offices at 5200 Dover Center Rd., North Olmstead, Ohio, 44070 and amends the
Transportation Services Contract between the parties dated February 23, 2024 as it may
heretofore have been amended (the “Agreement”).
NOW THEREFORE, in consideration of the mutual promises and covenants contained herein,
Contractor and Recipient agree as follows:
The Effective Date of this 2nd Amendment shall be January 1, 2026. Subject to the termination
provisions contained in the Agreement, the term of this 2nd Amendment shall be for the period
beginning January 1, 2026 and ending on December 31, 2026, unless either party serves written
notice to the other party at least 90 days prior to the end of the term.
The “FEE Schedule and Payments” provision contained in Section 4 of the Agreement is
deleted in its entirety and is replaced with this FEE Schedule & Payments:
Individual Trips
As compensation for the services provided by Contractor, the Recipient shall pay the
Contractor a rate of

$36.00 per one-way Passenger trip (outside of North Olmsted).
$43.00 per one-way Passenger trip to North Olmsted Senior Center, Recreation Center, or

A Passenger trip is defined as medical, therapy, or personal. The Recipient will charge a fare to
the Passenger(s), according to Exhibit A, STC will collect this fare at the point/time of service,
unless Passenger requests an STC invoice, which will be issued quarterly. The Recipient will
be responsible for payment for any fare modification/reduction approved by the Recipient.
The Contractor reserves the option, exercisable by reasonable advance written notice to
Recipient, of capping the quantity of one-way trip reservations in total or by distance, provided
by the Contractor per month.
Recipient will be electronically invoiced monthly by the 10th business day of the month for the
previous month’s activity to:

or such other address as Recipient may specify in writing to Contractor. Transportation
invoices shall be paid within fifteen (15) days from the first day following the first full calendar
month of service. Any payment more than five (5) days late shall include a late fee of $25.00.
NO SHOW OR LATE CANCELLATIONS
A Passenger must cancel transportation services by notifying the Contractor before 7:00 a.m.
the day of service. If the Contractor is notified after this time or does not receive a notice of
cancellation, the Contractor may bill the Recipient for (1) one-way Passenger trip for the round
trip no-show for each cancellation during that month. The Contractor will provide written
notification to the non-compliant Passenger per the Contractors policy attached hereto to as
EXHIBIT B.
FUEL ESCALATION
The negotiated base rate assumes fuel cost at or below $3.75 per gallon.
Fuel adjustments will be determined by using a monthly average for the Cleveland-Elyria-
Lorain market shown on the www.aaafuelgaugereport.com.
Vehicle Trip Charge:
If the monthly average exceeds the base rate, the fuel surcharge per trip will equal .01 for every
.01 above the base rate. For example, if the monthly average exceeds the base rate by .13, the
monthly fuel surcharge will be .13 times the number of trips for the month.
Vehicle Hour Charge (applies to group trips and contracts based upon hourly rates):
If the monthly average exceeds the base rate, the fuel surcharge per hour will equal .01 for
every .01 above the base rate. For example, if the monthly average exceeds the base rate by
.13, the monthly fuel surcharge will be .13 times the number of vehicle hours for the month
times 1.3 (STC’s average trips/hour).
This monthly fuel surcharge will appear as a separate line item on your invoice.
FARES
A.
The Contractor shall collect a fare from a Passenger only when it is indicated on the
manifest. The Passenger fare shall be paid according to Recipient’s fare policy unless the
Contractor is granted the written authority by the Recipient to make fare modifications.
B.
The Recipient will be responsible for payment to the Contractor for any fare reductions
approved by the Recipient.
C.
Drivers will not accept tips or indicate to Passengers that a tip is expected or permitted.
Invoicing and Payment
Recipient will be electronically invoiced monthly by the 10th business day of the month for the
previous month’s activity to or such other address as Recipient may specify in writing to
Contractor. Transportation invoices shall be paid within fifteen (15) days from the first day
following the first full calendar month of service. Any payment more than five (5) days late shall
include a late fee of $25.00
Except as modified by this 2nd Amendment, the terms and conditions of the Agreement
including any of its prior amendments remain in full force and effect. In the event of any
conflict between this 2nd Amendment and the Agreement, this 2nd Amendment shall control.
IN WITNESS WHEREOF, the parties hereto have caused this 1st Amendment to be executed
